Terms of Service

By accessing our website, hiring Vinektra for custom web engineering, purchasing digital solutions, or registering on our platform, you agree to be bound by these Terms of Service, all applicable laws, and regulations. If you do not agree with any part of these terms, you are prohibited from using our site or engaging our services.

These terms govern all agreements entered into between Vinektra ("Agency") and the client ("Client").

Vinektra offers high-end digital services including custom web application development, e-commerce development, website redesign, API integration, speed optimization, and ongoing website maintenance.

• Statement of Work (SOW): The precise deliverables, timelines, tech stack, and milestones for custom projects will be specified in an approved Proposal or Statement of Work.
• Client Feedback & Assets: Timely project completion depends on prompt provision of feedback, branding assets, copy, and credentials by the Client. Delays caused by the Client will extend project delivery timelines accordingly.

We believe in complete transparency and client empowerment:

• 100% Code Transfer Upon Final Payment: Upon full clearance of the final invoice balance, all custom source code, design assets, database structures, and digital property developed specifically for the project will be 100% owned by the Client.
• Pre-existing Assets & Frameworks: Vinektra retains ownership of underlying proprietary tools, general code libraries, and open-source frameworks utilized to build the project, granting the Client a perpetual, royalty-free license to use them within their web application.

Our payment terms are designed to maintain clear project momentum and safety for both parties:

• Deposit / Upfront Milestone: Custom projects require an upfront advance deposit (typically 30% - 50% depending on project scope) before discovery, design, or development begins.
• Final Handover: Live domain deployment, admin credential transfer, and final zip file handovers will occur only after final milestone clearance.
• Payment Channels: Invoices can be cleared securely via Razorpay, UPI, Direct Bank Transfer, or major Credit/Debit Cards.

Every custom website build delivered by Vinektra includes a 30-Day Free Post-Launch Bug Warranty starting from the live deployment date. During this period, we fix any software bugs, broken layout elements, or function errors originating from our codebase at zero extra charge.

After the 30-day warranty window, ongoing updates, new feature requests, or server maintenance can be covered under our monthly retainer plans or billed on an hourly project basis.

Vinektra shall not be held liable for indirect, incidental, or consequential damages resulting from server downtime hosted on third-party servers, unauthorized client credential leaks, or third-party API changes beyond our control.

These Terms of Service are governed by and construed in accordance with the laws of India. Any legal disputes shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.
